2009 - North Dakota Publicly Traded Corporations Act Symposium


The state of North Dakota received national attention after the 2007 legislative session passed the North Dakota Publicly Traded Corporations Act (NDPTCA).  The NORTH DAKOTA LAW REVIEW's ("NDLR") 2009 symposium issue and live event will revolve around NDPTCA as well as its relationship to other regulations available nationally and internationally.

The NDPTCA challenges many assumptions previously held by corporation laws regarding the management of public corporations.  The goal of the NDPTCA was to create shareholder friendly corporations through requirements such as: limiting director term limits, restricting poison pills, separating the role of chairman and chief executive officer, permitting votes on compensation reports, and altering plurality voting to majority voting when electing directors.  The NDPTCA is an incredibly novel approach to governing publicly traded corporations and preventing crimes against the public.

The NDLR desires to provide its readers with an examination of the NDPTCA’s origin, its goals and its national impact.  The study also hopes to foster a comparison of NDPTCA with prominent corporation schemes available in other states such as Delaware, or other nations.  While the focus of the Symposium shall be primarily on the NDPTCA, the NDLR encourages authors to submit other articles concerning shareholder rights as well.

We anticipate accepting all article submissions no later than November 15, 2008.  The live symposium event will be held on April 3, 2009.
